Description
The Township of Union Board of Education seeks independent legal counsel to guide the district through a voter‑referendum bond financing process, from pre‑referendum analysis through issuance and post‑issuance compliance. The counsel will act solely as legal advisor, preparing and reviewing all statutory documents, coordinating with state agencies, and delivering required legal opinions at closing.
• Provide legal analysis of financing structures, debt capacity, and referendum requirements.
• Draft and review referendum questions, Board resolutions, notices, and certifications.
• Prepare and review all bond/note issuance documents, including resolutions, trust indentures, tax opinions, and official statements, and attend the financing closing.
• Offer post‑issuance advisory services and supplemental opinions as needed.
• Must supply required insurance, certifications, and comply with affirmative‑action, political‑contribution, and background‑check requirements.
