Bond Counsel/Issuer's Disclosure Counsel Services

The Cobb County Procurement Services Department is seeking proposals from qualified firms to provide bond counsel and issuer’s disclosure counsel services. The selected firm will be responsible for providing legal services related to all Bonds and Tax Anticipation Notes currently in existence and any Bond and/or Note issues which may be proposed and issued during the contract term. The scope of services includes acting as issuer’s disclosure counsel, assisting in preparation of the Preliminary Official Statement, Official Statement, and Notice of Sale, and rendering opinions on questions related to the bonds. • The contract term is expected to be three years, with the option to renew for an additional three years. • The County does not guarantee that it will issue any tax anticipation notes, new money, or refunding bonds during the contract term. • The selected firm will be required to provide an opinion addressed to the County, the County’s Financial Advisor, and to the managing underwriter of any underwriting syndicate regarding the adequacy and sufficiency of the Preliminary Official Statement and the Official Statement. • The firm’s representative shall be available to answer questions from the County on the applicability of regulations to outstanding debt, including any debt issued prior to the commencement of this contract, and projected future debt issuance.
