Underwriting Services- Marine Bonds

The Virgin Islands Port Authority is seeking proposals from qualified firms to serve as underwriters for the proposed Series 2025/26 bond transactions, which will be solely backed by the revenues generated from the Authority's Marine Division. The selected firms will provide underwriting services, including making recommendations on all aspects of relevant financings, assisting with investor relations, and developing a comprehensive marketing plan. The Authority is contemplating issuing these obligations as either public offerings or direct or private placements. The goal of the Authority is to select a pool of the top three rated underwriters who have the ability to understand VIPA's intricacies and appropriately structure and effectively distribute the Authority's bonds. • The Authority requires the selected firms to provide services and tangible work products, including serving as a senior or co-manager for a public offering or a private placement, making recommendations on all aspects of relevant financings, and assisting with investor relations. • The Authority expects the Underwriter to conduct a review as necessary to attain a reasonable basis for belief in the accuracy and completeness of the key representations in the Official Statements. • The Authority is contemplating funding approximately $60 million in new money projects. • The Authority requires the selected firms to provide a comprehensive marketing plan, including identification of potential investors to achieve the lowest possible borrowing cost. • The Authority expects the Underwriter to provide post-sale analysis of the transaction, including a summary of the marketing and pricing of the bonds.
