Conflict Disclosure Agreement and Video Production Agreement

This contract is for video production and digital marketing services provided by Simple Social to Hernando County, Florida, For the Tourism Department. The services include the creation of a 30-second TV spot, branded billboard, and delivery of b-roll and drone shot files. The contract also includes a confidentiality agreement and provisions for intellectual property rights. The total cost of the contract is $20,180.00, with 50% due upon execution of the agreement and 50% due at delivery of the video project. • The contract includes a non-solicitation clause, which prevents Hernando County from soliciting or establishing a business relationship with any employee of Simple Social. • The contract also includes a provision for attorney's fees and indemnification in the event of a breach. • The contract terminates on receipt of the final video, unless earlier terminated according to the terms of the agreement. • Simple Social retains all rights, title, and interest in and to any intellectual property developed or provided under this agreement. • Hernando County retains an irrevocable non-transferrable license for the unique graphics and other visual elements created by Simple Social.
