Description
This Master Services Agreement authorizes EagleView to deliver its proprietary “Earth Observation Solution” software platform, imagery data, and related services to Fauquier County for internal government use. The agreement establishes a framework where specific products, pricing, and deliverables are detailed in separate Order Forms that may be added, renewed, or extended over time. The County receives a primary administrator account to manage user access, while EagleView provides licensing that is limited, revocable, non‑exclusive, and non‑transferable. Payments are due within 30 days of invoice, with a 1.5% per month late‑fee, and the County must cover any applicable taxes. Termination can occur for material breach after a 30‑day cure period, and the County may be required to continue paying fees even if services are suspended for overdue payments. The MSA remains in effect as long as at least one Order Form is active, plus an additional 12‑month tail after the last Order Form expires.
